1. Introduction

3. Quotes and Orders
- Quotes: All price quotes provided by us are valid for 30 days unless stated otherwise. Prices are subject to change due to fluctuations in raw material costs (e.g., fabric, aluminum, fiberglass) until an order is confirmed.
- Order Confirmation: An order is considered confirmed only when a Proforma Invoice (PI) is signed and the agreed deposit has been received.
- Minimum Order Quantity (MOQ): As a manufacturer, we enforce MOQs on certain products. These will be clearly communicated during the quotation phase.
4. Customization and Intellectual Property (OEM/ODM)
- Your Designs: If you provide us with designs, logos, or artwork for custom umbrellas, you warrant that you hold the intellectual property rights to these designs. You agree to indemnify us against any claims of copyright infringement arising from the production of your designs.
- Samples: We may provide pre-production samples. Approval of the sample (via email or physical inspection) is required before mass production begins. Once the sample is approved, we are not liable for discrepancies that match the approved sample.
5. Payment Terms
- Unless otherwise agreed in writing, our standard payment terms are a 30% deposit upon order confirmation, with the remaining 70% balance due before shipment.
- Payments can be made via T/T (Bank Transfer) or other methods agreed upon in the Proforma Invoice.
6. Shipping and Delivery
- Incoterms: Unless otherwise specified, our standard shipping term is FOB Xiamen (Free on Board). This means our responsibility ends when the goods pass the ship’s rail at the port of shipment.
- Delays: While we strive to meet production timelines (typically 15-45 days), we are not liable for delays caused by “Force Majeure” events, including but not limited to natural disasters, customs inspections, strikes, or shipping carrier delays.
7. Returns and Refunds
- Custom Products: Due to the personalized nature of OEM/ODM orders, customized umbrellas cannot be returned or refunded unless they are defective or do not match the approved sample.
- Defects: You must inspect the goods within 7 days of receipt. If you find manufacturing defects, please provide photographic evidence. We will, at our discretion, replace the defective items or offer a credit on future orders.
8. Limitation of Liability
To the fullest extent permitted by law, Xiamen Bosheng Umbrella Co., Ltd. shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our products.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes relating to these terms shall be subject to the jurisdiction of the courts in Xiamen, China.
10. Changes to Terms
We reserve the right to replace or modify these Terms at any time. It is your responsibility to check this page periodically for changes.
